1. Acceptance of Terms

By accessing or using any products or services provided by RoguePX ("we," "us," or "our"), including our RCS/SMS-based social applications, AI agents, and web-based tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Services.

3. Description of Services

RoguePX provides AI-powered, app-less social interaction platforms delivered primarily through RCS (Rich Communication Services) and SMS messaging channels. Our Services enable users to:

  • Build and manage social connections and affinity groups.
  • Interact with AI-powered agents for onboarding, profile management, and social facilitation.
  • Visualize and navigate social graphs representing their network of connections.
  • Communicate and receive notifications via RCS/SMS messaging.

4. Account and Registration

Access to the Services is initiated through an invitation process delivered via RCS/SMS. By completing the onboarding process, you create an account associated with your phone number. You are responsible for:

  • Providing accurate and current information during onboarding and profile updates.
  • Maintaining the security of your phone number and any authentication tokens or links provided to you.
  • All activity that occurs under your account.

Magic links and authentication tokens are single-use and time-sensitive. Do not share them with others.

5. Acceptable Use

You agree not to use the Services to:

  • Harass, bully, threaten, or intimidate other users.
  • Transmit spam, unsolicited messages, or fraudulent content.
  • Impersonate any person or entity, or misrepresent your identity or affiliation.
  • Attempt to gain unauthorized access to other users' accounts, data, or our systems.
  • Use automated scripts, bots, or other tools to interact with the Services (except as provided by us).
  • Violate any applicable law, regulation, or third-party rights.
  • Interfere with or disrupt the integrity or performance of the Services.

We reserve the right to suspend or terminate your access for any violation of these Terms.

6. SMS/RCS Messaging Consent

By using the Services, you expressly consent to receive RCS and SMS messages from RoguePX, including messages from our AI-powered agents, notifications about your social connections, and service-related communications.

  • Message Frequency: Varies based on your interaction with the Services.
  • Message and Data Rates: Standard message and data rates from your mobile carrier may apply.
  • Opt-Out: You may stop receiving messages at any time by replying STOP to any message. Note that opting out will effectively deactivate your account and access to the Services.
  • Help: Reply HELP to any message or email contact@roguepx.com for assistance.

Supported carriers include, but are not limited to, AT&T, T-Mobile, Verizon, and other major US carriers. RCS availability depends on your device and carrier support.

7. Intellectual Property

All content, code, designs, trademarks, and other intellectual property associated with the Services are owned by or licensed to RoguePX. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.

You retain ownership of any content you submit through the Services. By submitting content, you grant RoguePX a non-exclusive, worldwide, royalty-free license to use, display, and process that content solely for the purpose of providing the Services.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the data practices described in the Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or secure. RCS/SMS message delivery is subject to carrier network availability and is not guaranteed.

AI-generated responses and suggestions are provided for informational purposes and may not always be accurate or appropriate. You acknowledge that interactions with our AI agents are automated and should not be relied upon as professional advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROGUEPX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless RoguePX and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account by contacting us at contact@roguepx.com or by replying STOP to any RCS/SMS message.

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
